Ian Scarlett is a partner in our Corporate/Commercial Department and a member of the Management Committee of the Firm. Ian has represented all sizes of companies in various industries, including companies in the information technology field, automotive retailers, the waste management industry and the hospitality sector. Ian has extensive experience in corporate governance for profit and not-for-profit entities, mergers & acquisitions as well as competition and franchising law.

Ian obtained a Bachelor of Commerce and a Master of Business Administration from McGill University. Having initially worked in the information technology field, Ian subsequently obtained a Juris Doctor from the University of Toronto Faculty of Law.

Ian brings experience and a multi-disciplinary approach to the effective and efficient planning, structuring, negotiating and implementing transactions for private and public companies, not-for-profit organizations, as well as in advising senior management and boards of directors on corporate governance, securities and franchising matters. Ian has also served as a director of various private and not-for-profits companies.

Ian is a member of the Canadian Bar Association and devotes time to Scouts Canada, local education, distance running and golf.

  • Represented a public company in multiple acquisitions in the waste disposal industry, including both acquisitions of assets and acquisitions of shares
  • Represented a public company in the successful phased divestiture of assets of a waste collection business
  • Represented a mid-sized seller in the successful sale of shares of a software development company
  • Provided corporate counsel support to a large pension fund throughout a successful commercial arbitration proceeding
  • Represented a mid-sized purchaser in the successful acquisition of assets of a national franchised business, including the acquisition of various international operations
