Bio
Michael is a transactional lawyer who leads Loopstra Nixon's Mining Group. He practices corporate and securities law, with a focus on capital markets transactions, M&A, and public and private issuers.
Michael has extensive experience advising public and private issuers on capital markets transactions, private placements, flow-through and equity and debt financings, TSX, TSXV, and CSE compliance, regulatory and continuous disclosure obligations, and corporate governance matters. His practice also includes the negotiation and drafting of prospectuses, circulars, joint venture and offtake agreements, shareholder agreements, share and asset purchase agreements, and related transaction documents.
With a background in Business Management specializing in Finance, Michael brings a commercial lens to legal problems. His clients range from listed issuers and their boards to private companies, senior executives, investors and founders, who rely on him for both transaction execution and the day-to-day questions in between. Before joining Loopstra Nixon, Michael practiced at a large full-service firm in downtown Toronto.
In his spare time, Michael enjoys playing golf, basketball, and squash, and spending time with family
